Terms of Use

1. Acceptance

By using FaultPilot, you agree to these Terms of Use. If you do not agree, do not use the service. These terms apply to all users including organisation administrators and field technicians. These terms should be read alongside any Master Services Agreement (MSA) entered into between your organisation and FaultPilot Pty Ltd. In the event of any conflict, the MSA takes precedence.

2. Service Description

FaultPilot is a maintenance workflow platform for mining and industrial operations. It provides fault logging, diagnostic tracking, shift handover management, and AI assisted diagnostic tooling. The platform enables organisations to upload, process, and retrieve information from their own technical documentation to support maintenance workflows.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials. You must not share your account or allow unauthorised access. You are responsible for all activity under your account. Organisation administrators are responsible for managing user access within their organisation and ensuring users comply with these terms.

4. Acceptable Use

You must use FaultPilot only for lawful operational purposes. You must not attempt to reverse engineer, decompile, or disassemble any part of the platform. You must not upload malicious content, interfere with other users, or use the service to transmit unlawful material. You must not use FaultPilot as a substitute for required safety procedures or manufacturer service requirements. You must not use the platform to circumvent any licensing or access restrictions that apply to content you upload.

5. User Uploaded Content

FaultPilot allows organisations to upload documentation for processing within the platform. By uploading content, you represent and warrant that your organisation holds all necessary rights, licences, and permissions required to use that content in the manner facilitated by the platform, including the right to digitally process, index, and retrieve information from those documents. You acknowledge that FaultPilot processes uploaded documents solely within your organisation's private environment and does not share uploaded content across organisations. FaultPilot does not independently verify the licensing status of uploaded content and accepts no liability for content uploaded in breach of third party rights. You agree to indemnify FaultPilot Pty Ltd against any claims, losses, or damages arising from your upload of content that you did not have the right to use.

6. Data Processing and Storage

Documents uploaded to FaultPilot are processed and stored within your organisation's isolated environment. Processing may include text extraction, indexing, and the generation of derivative data structures to enable search and retrieval. No uploaded content is used to train AI models or shared outside your organisation's account. You retain ownership of all content you upload. FaultPilot retains a limited licence to process and store that content solely for the purpose of providing the service to your organisation.

7. AI Generated Content

FaultPilot includes AI powered diagnostic tooling (Trace). AI generated diagnostic steps are provided as decision support only and do not constitute professional engineering advice. All AI outputs must be validated by qualified personnel before being acted upon. AI generated content may contain inaccuracies or omissions and should be used in conjunction with, not as a replacement for, established maintenance procedures and professional judgment. FaultPilot Pty Ltd is not liable for any outcomes, losses, or damages resulting from reliance on AI generated recommendations.

8. Subscription and Payment

Access to FaultPilot requires a paid subscription. Pricing is per site per month. Payment terms are set out in your service agreement. We reserve the right to suspend access for non-payment after 14 days written notice.

9. Intellectual Property

FaultPilot and all associated software, design, algorithms, and proprietary content are the intellectual property of FaultPilot Pty Ltd. You may not copy, modify, reverse engineer, or redistribute any part of the platform without written permission. Nothing in these terms transfers any intellectual property rights in the platform to you. Your organisation retains all intellectual property rights in content you upload to the platform.

10. Confidentiality

Each party agrees to keep confidential any proprietary or sensitive information disclosed by the other party in connection with the service. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law. FaultPilot will treat all uploaded documentation and operational data as confidential information of your organisation.

11. Limitation of Liability

To the maximum extent permitted by Australian law, FaultPilot Pty Ltd excludes all liability for indirect, incidental, special, or consequential damages arising from or in connection with use of the service, including but not limited to loss of revenue, loss of data, equipment damage, or personal injury. Our total aggregate liability for any claims arising under these terms shall not exceed the fees paid by your organisation in the six months preceding the event giving rise to the claim. Nothing in these terms excludes or limits liability that cannot be excluded or limited under Australian law, including liability under the Australian Consumer Law.

12. Indemnification

You agree to indemnify, defend, and hold harmless FaultPilot Pty Ltd, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from (a) your use of the service in breach of these terms, (b) your upload of content that infringes any third party intellectual property or licensing rights, or (c) any claim that your use of the service caused loss or damage to a third party.

13. Termination

Either party may terminate the service agreement with 30 days written notice. We may suspend or terminate access immediately for material breach of these terms. Upon termination, we will make your data available for export for a period of 30 days. After that period, we may delete your data in accordance with our data retention policy.

14. Governing Law

These terms are governed by the laws of Western Australia, Australia. The parties submit to the exclusive jurisdiction of the courts of Western Australia for the resolution of any disputes arising under or in connection with these terms.

15. Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
