Authorised User Terms
1. These Terms and your acceptance
1.1 FaultPilot is a maintenance workflow platform for mining and industrial operations. It provides fault logging, diagnostic tracking, shift handover management, and AI assisted diagnostic tooling. The platform enables organisations to upload, process, and retrieve information from their own technical documentation to support maintenance workflows.
1.2 FaultPilot is provided by FaultPilot Technologies Pty Ltd (ACN 687 468 202) (FT, We or Us). The term 'You' or 'Your' refers to the individual user who is a party to this agreement.
1.3 The Customer has entered into the Customer Agreement with Us, permitting it to use FaultPilot. That Customer Agreement also permits the Customer to nominate Authorised Users who will be permitted to use FaultPilot on its behalf, subject to those Authorised Users agreeing to, and complying with, these Authorised User Terms (Terms). The Customer has nominated You to be an Authorised User.
1.4 Your use of FaultPilot is governed by these Terms. Please read and review them carefully. By clicking “I accept”, You acknowledge that You have read, understood, and agree to be bound by these Terms. If You do not agree to these Terms, do not click on the “I accept” icon.
1.5 We may amend these Terms from time to time. You may be asked to accept new Terms before You can continue to access and use FaultPilot. By clicking “I accept”, You acknowledge that You have read and understood the new Terms, and agree that they will replace and supersede the previous Terms. If You do not agree to the new Terms, we will not permit You to continue to use of FaultPilot.
2. Requirements
2.1 You can only use FaultPilot if You are an Authorised User, as defined below, and otherwise comply with these Terms.
2.2 To become an authorised user, You must:
- be nominated by the Customer;
- be an officer, employee or contractor of the Customer;
- accept these Terms;
- register with Us using your email address (You will have a unique password);
- when registering with Us, provide such details we may request; and
- be over 18 years of age,
(Authorised User).
2.3 You acknowledge and agree that if You cease to be an officer, employee or contractor of the Customer, You must immediately cease using FaultPilot.
3. Security and Passwords
3.1 You are solely responsible for maintaining the confidentiality and security of Your password.
3.2 You must not:
- permit any other person to access FaultPilot using Your username and password; or
- share Your password with any other person.
3.3 You must notify us immediately if You believe Your account may be subject to unauthorised access or use.
4. Your use of FaultPilot
4.1 If You satisfy the requirements set out in clause 2.2 and successfully register to use FaultPilot, we grant to You a right to use FaultPilot for the Customer's internal lawful operational purposes in accordance with these Terms.
4.2 Your right to use FaultPilot is subject to Your ongoing compliance with these Terms.
4.3 You must not:
- upload harmful code or malicious content, interfere with the proper working of the platform or other users of the platform, or use the platform to transmit unlawful material;
- use the platform to circumvent any licensing or access restrictions that apply to content you upload;
- copy, modify, reverse engineer, decompile, disassemble or redistribute the platform or any part of the platform;
- use any robot, spider, or other automatic or manual process or device to “screen scrape”, monitor “mine”, or copy web pages on or from FaultPilot;
- remove, disable, circumvent, or otherwise create or implement any workaround to any copy protection, rights management, or security features in or protecting the platform; or
- permit or assist any other person to do any of the acts specified in this clause 4.3.
4.4 We reserve the right to monitor Your use of FaultPilot.
5. Intellectual Property
5.1 We own all intellectual property rights in FaultPilot and all associated software, models, design, algorithms, and proprietary content. Nothing in these Terms of Use transfers any of these intellectual property rights to You.
6. Confidentiality
6.1 For the purposes of this clause, Confidential Information means any of our non-public information (in any form and whether or not disclosed before or after Your acceptance of these Terms) of any kind disclosed or revealed by us to You that:
- is by its nature confidential; or
- is designated by a party as confidential; or
- you know or reasonably ought to know is confidential,
and includes FaultPilot.
6.2 You must at all times:
- keep the Confidential Information secret;
- not disclose the Confidential Information to anyone other the Customer and other Authorised Users who need to know the Confidential Information; and
- not use the Confidential Information other than as described in these Terms.
6.3 You agree that Your obligations under this clause continue indefinitely even if Your access to FaultPilot ends.
7. Privacy
7.1 You, the Customer and other Authorised Users, will be required to provide personal information to us for the purpose of registering with us to use FaultPilot, and in the course of accessing and using FaultPilot.
7.2 To the extent that You provide personal information to us, that personal information will be dealt with by Us in accordance with the Privacy Act 1988 (Cth), all other applicable privacy laws and our Privacy Policy.
7.3 You agree that we may disclose any personal or other information we, in our absolute discretion, consider we are required to disclose in order to satisfy any applicable law, legal process or government request.
7.4 Terms used in this clause 7 have the meanings given to them in the Privacy Act 1988 (Cth).
8. Warranties
8.1 You agree and warrant that:
- all information that You provide to us about yourself or about other individuals; and
- all other data, materials and information You provide in connection with Your use of FaultPilot,
is true, accurate, current and complete.
9. Liability
9.1 All terms, warranties and representations not expressly stated in these Terms, are excluded to the extent permitted by law.
9.2 The sole purpose of these Terms is to provide You with access to use FaultPilot in accordance with the Customer Agreement. Accordingly, You acknowledge that, subject to clause 9.3, our liability (if any) in relation to FaultPilot, and your access to and use of FaultPilot is solely governed by the Customer Agreement.
9.3 Nothing in these Terms excludes, restricts, or modifies any condition, warranty, right or remedy implied or imposed by any applicable law which cannot lawfully be excluded, restricted, or modified (including any consumer guarantee under the Australian Consumer Law). To the extent that we are able to limit our liability (including in relation to any consumer guarantee under the Australian Consumer Law), our liability is limited, at our option, to:
- in the case of goods, replacing or repairing the goods or supplying equivalent goods, or paying for the cost of replacing or repairing the goods or of acquiring equivalent goods; and
- in the case of services, resupplying the services, or paying the cost of resupplying the services.
10. Termination
10.1 You can deactivate Your access to FaultPilot at any time.
10.2 We may limit, suspend or terminate Your access to FaultPilot at any time and without any prior notice if You have breached any of these Terms, or if we know of or suspect any fraudulent or dishonest activity in relation to Your Account or Your use of FaultPilot.
10.3 Your access to FaultPilot may also be suspended or terminated if the Customer:
- chooses not to renew the Customer Agreement with us, or the Customer Agreement otherwise comes to an end; or
- breaches the Customer Agreement.
11. General
11.1 These Terms are governed by the laws of Western Australia, Australia.
11.2 The parties submit to the non-exclusive jurisdiction of the courts of Western Australia for the resolution of any disputes arising under or in connection with these Terms of Use.
11.3 We may give notice to You by either direct communication to the email address provided in Your Account or generally by publication of a generic message or communication on a notice board or information link accessible to and found on FaultPilot. You may give notice to us by email at admin@faultpilot.com.au.
11.4 We will not be liable for any act or event beyond our reasonable control.
11.5 If any of these Terms is found to be invalid or unenforceable, the remaining terms continue in full force and effect.
11.6 You must not assign any of your rights under these Terms. We may assign our rights and novate our obligations under these Terms at any time, and you consent to us doing so. We will give you notice if we exercise our rights under this clause.
12. Definitions
12.1 In these Terms, the following definitions apply:
Account means the user account created by You in order to access FaultPilot as an Authorised User.
Authorised User has the meaning given in clause 2.2.
Customer means the organisation who has entered into a Customer Agreement and has sent Us Your details to become an Authorised User.
Customer Agreement means a written agreement to access FaultPilot entered into by the Customer with Us.
13. Interpretation
13.1 In these Terms, unless the contrary intention appears:
- the singular includes the plural and the plural includes the singular;
- another grammatical form of a defined word or expression has a corresponding meaning;
- a reference to a person includes a natural person, corporation, partnership, association or other legal entity;
- a reference to legislation includes that legislation as amended or modified or re-enacted and includes any applicable regulations, instruments and determinations made it; and
- a reference to any agreement, document or materials is to that agreement or document, or those materials, as amended, updated, novated, supplemented or replaced.
